Including the LineVault Mobile Application End User License Agreement
These Terms of Service (these “Terms”) are a legally binding agreement between you and Linevault App LLC, a Florida limited liability company (“Linevault,” “we,” “us,” or “our”). They govern your access to and use of the website at linevaultapp.com (the “Website”), the LineVault mobile application (the “App”), and all related features, content, and services (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. SECTION 16 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION AND JURY TRIAL WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 16.7.
1. Acceptance of Terms
1.1 Agreement by Use. By accessing, downloading, installing, browsing, or using any part of the Services, with or without an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1.2 Age Requirement. You must be at least 18 years old to use the Services. The Services are not directed to, and may not be used by, anyone under 18.
1.3 Capacity to Contract. You represent that you have the legal capacity to enter into these Terms. If you use the Services on behalf of a company, contractor, staffing agency, union hall, or other organization (a “Business”), you represent that you are authorized to bind that Business, and “you” includes both you and the Business.
1.4 Updates and Modifications. We may update these Terms from time to time. We will post the updated Terms on the Services and revise the “Last Updated” date, and for material changes we will give reasonable advance notice by email or in-app notice. Changes take effect on the date stated in the notice. If you continue to use the Services after that date, you accept the updated Terms; if you do not agree, you must stop using the Services and may delete your account.
1.5 Key Definitions. “User” means anyone who accesses the Services. “Registered User” means a User with an account. “Subscriber” means a Registered User with an active paid Pay Tracking subscription. “Job Poster” means a Registered User who publishes a job posting. “User Content” means any content a User submits, posts, or displays through the Services, including profile information, Community posts, photos, comments, and job postings. “Pay Tracking Data” means the hours, pay rates, benefits, and related information you enter into the Pay Tracking feature.
2. The Services
2.1 Description. LineVault is built for linemen, electricians, and the businesses that employ them. It offers four features: (a) Pay Tracking, a private tool for logging hours worked and benefits earned and viewing an estimate of your paycheck during a pay period; (b) Community, a public, forum-style space for posting photos, threads, questions, and discussion about the trade; (c) Jobs, a free job board where Registered Users can post work opportunities, such as storm-response crew work; and (d) Resources, articles and trade tips published by Linevault.
2.2 Access Without an Account. Community posts, job postings, and Resources can be viewed without an account. An account is required to post, comment, create a job posting, contact a Job Poster, or use Pay Tracking. These Terms apply to all Users, whether or not they have an account.
2.3 Changes to the Services. We may add, modify, suspend, or discontinue any feature at any time. Some features, including Community, may be released in phases or through App updates. If we discontinue Pay Tracking, we will notify Subscribers and will not charge for any period after the discontinuation date.
3. User Accounts & Registration
3.1 Account Creation Requirements. To register, you must provide a valid email address and create a password. You may also create a public profile that includes a display name (which does not need to be your real name), a trade classification, and an optional profile photo. You agree to provide accurate information and keep it current, and you may not choose a display name that impersonates another person or Business or that is offensive or misleading.
3.2 Account Security and Passwords. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at support@linevaultapp.com if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account resulting from your failure to safeguard your credentials.
3.3 One Account per User. Each individual may maintain only one personal account. Accounts are personal to you and may not be shared, sold, or transferred. You may not create a new account after we have terminated a previous account without our written permission.
3.4 Authorized Users (Business Accounts). A Business may designate employees or agents to post jobs or participate in the Community on its behalf (an “Authorized Users”). Each Authorized User must use his or her own account. The Business is responsible for the acts and omissions of its Authorized Users and for promptly removing access for individuals who are no longer authorized.
3.5 Account Suspension and Termination. We may suspend, restrict, or terminate your account as described in Sections 9.6 and 17.3.
4. Pay Tracking
4.1 Private to You. Your Pay Tracking Data is stored securely in the cloud so that you can access it from any device you sign into. It is visible only to you. It is not displayed to other Users and is not shared with your employer, your union, or any Job Poster.
4.2 Pay Tracking Results Are Estimates Only. ALL PAY TRACKING DATA IS ENTERED BY YOU AND MAY BE ENTERED INCORRECTLY. YOUR ACTUAL PAY MAY ALSO BE AFFECTED BY FEDERAL, STATE, AND LOCAL TAXES, FEES, CHARGES, DEDUCTIONS, WITHHOLDINGS, GARNISHMENTS, BENEFIT CONTRIBUTIONS, UNION DUES, CREDITS, DEBITS, ADJUSTMENTS, AND OTHER ITEMS APPLIED BY YOUR EMPLOYER OR REQUIRED BY LAW THAT WERE NOT ENTERED OR TAKEN INTO CONSIDERATION. ALL FIGURES DISPLAYED BY PAY TRACKING ARE AN “ESTIMATE” ONLY AND ARE NOT A PAY STUB, PAYROLL RECORD, OR STATEMENT OF WAGES OWED. LINEVAULT APP LLC IS NOT RESPONSIBLE FOR ANY VARIATION BETWEEN ANY ESTIMATE AND YOUR ACTUAL PAY, AND IS NOT LIABLE FOR ANY DECISION YOU MAKE IN RELIANCE ON AN ESTIMATE.
4.3 Your Responsibility for Accuracy. You are solely responsible for the accuracy and completeness of the hours, rates, overtime, per diem, benefits, and other information you enter, and for verifying estimates against your official pay statements and any applicable collective bargaining agreement.
4.4 Not Payroll, Tax, Legal, or Financial Advice. Pay Tracking is a personal record-keeping convenience. It does not provide tax, accounting, legal, or financial advice, and estimates should not be used as the sole basis for any wage claim, grievance, tax filing, or dispute with an employer or union.
4.5 Data Export. Pay Tracking does not currently offer a data export feature. If we add one, its use will be subject to these Terms.
5. Payments & Billing
5.1 Subscription and Pricing. Community, Jobs, and Resources are free. Pay Tracking requires a paid subscription after the free trial. The subscription is currently offered monthly for US $9.99 per month, plus applicable taxes. We may change pricing on at least 30 days’ advance notice. A price change takes effect at the start of the next billing period after the notice period, and you may cancel before then to avoid the new price. App Store and Google Play pricing may be displayed in local currency as set by those platforms.
5.2 Free Trial. New Registered Users may use Pay Tracking free of charge for one (1) month. No payment method is required to start the trial, and the trial does not automatically convert to a paid subscription. When the trial ends, access to Pay Tracking is paused until you choose to subscribe and provide a payment method, and your Pay Tracking Data is retained as described in Section 12.5. The free trial is limited to one per person, and we may modify or end trial offers for future Users at any time.
5.3 Automatic Monthly Renewal. ONCE YOU SUBSCRIBE, YOUR SUBSCRIPTION AUTOMATICALLY RENEWS EACH MONTH, AND YOU AUTHORIZE US (OR THE APPLICABLE APP STORE) TO CHARGE YOUR PAYMENT METHOD THE THEN-CURRENT MONTHLY FEE, PLUS APPLICABLE TAXES, AT THE START OF EACH BILLING PERIOD UNTIL YOU CANCEL. You may cancel at any time as described in Section 5.5.
5.4 Payment Processing. Payments are processed by third parties, not by Linevault. Purchases made in the App are processed by Apple (App Store) or Google (Google Play) under their terms, and purchases made through the Website are processed by Stripe, Inc. We do not receive or store your full payment card number. Accepted payment methods are those supported by the applicable processor.
5.5 Refunds and Cancellations. You may cancel your subscription at any time: for App Store subscriptions, through your Apple ID subscription settings; for Google Play subscriptions, through your Google Play subscription settings; and for Website subscriptions, through your account settings or by emailing support@linevaultapp.com. Cancellation takes effect at the end of your current paid billing period, and you keep access to Pay Tracking until then. ALL FEES ARE NON-REFUNDABLE, AND WE DO NOT PROVIDE REFUNDS OR CREDITS FOR PARTIAL BILLING PERIODS OR UNUSED TIME, except where required by law or by the refund policies of Apple or Google, which govern purchases made through their stores. Deleting the App does not cancel your subscription.
5.6 Failed Payments. If a renewal charge is declined, the applicable processor may retry the charge, and we may suspend access to Pay Tracking until payment succeeds. Your Pay Tracking Data will not be deleted because of a failed payment.
5.7 Taxes. Fees do not include taxes unless stated. You are responsible for any sales, use, or similar taxes that apply to your purchase, which may be collected by us or by the applicable app store.
5.8 Disputed Charges and Chargebacks. If you believe you were charged in error, contact us (or, for in-app purchases, Apple or Google) within 60 days of the charge so the issue can be resolved. If you initiate a chargeback without first contacting us, we may suspend your subscription while the dispute is pending.
6. Community & User Content
6.1 Community Feature. The Community allows Registered Users to post photos, threads, questions, comments, and other content about the trade. Some Community features may be introduced through future updates, and these Terms apply to them when released.
6.2 Content Ownership. You retain ownership of the User Content you submit. We do not claim ownership of your User Content.
6.3 Content License to Platform. By submitting User Content, you grant Linevault a worldwide, non-exclusive, royalty-free, transferable license, sublicensable to our service providers, to host, store, reproduce, display, distribute, and adapt (for formatting and technical purposes) your User Content in connection with operating, providing, improving, and promoting the Services. This license ends when your User Content is deleted from the Services, except for copies retained in routine backups for a limited time or as required by law.
6.4 Responsibility for Content. You are solely responsible for your User Content. You represent that you own or have all rights necessary to post it and that it does not infringe any third party’s rights or violate any law or these Terms. Do not post photos that reveal confidential or security-sensitive utility infrastructure information, customer or private property without permission, your employer’s proprietary information, or identifiable people who have not consented.
6.5 Public vs. Private Content. Your profile (display name, classification, and profile photo), Community posts, comments, and job postings are public and may be viewed by anyone, including people without an account and search engines. Your email address, password, and Pay Tracking Data are private. Do not include in public content anything you do not want others to see, such as your home address, personal phone number, financial information, or union membership.
6.6 Content Removal. We may, but are not obligated to, monitor, review, edit, or remove any User Content at any time and for any reason, including if we believe it violates these Terms, is harmful, or exposes Linevault or others to liability. We are not responsible for any failure or delay in removing content.
6.7 Safety Information Disclaimer. Community posts about work methods, equipment, or safety reflect the personal opinions of other Users. They are not verified by Linevault and must never replace your employer’s training and procedures, OSHA requirements, the National Electrical Safety Code, the National Electrical Code, manufacturer instructions, or qualified supervision.
6.8 Feedback. If you send us suggestions or ideas about the Services, we may use them without restriction or compensation to you.
7. Jobs Board
7.1 Venue Only. The Jobs board is a free venue that allows Job Posters to advertise work opportunities. Linevault is not an employer, staffing agency, employment agency, recruiter, labor contractor, or union, and is not a party to any communication, agreement, or relationship between a Job Poster and anyone who responds to a posting. We do not verify Job Posters, screen applicants, or conduct background checks.
7.2 Who May Post. Any Registered User may create a job posting, including contractors, companies, staffing agencies, and union halls. Job postings are currently free; we may introduce fees or posting limits in the future with advance notice.
7.3 Job Poster Responsibilities. Each Job Poster must: (a) post only genuine, currently available opportunities that it is authorized to fill; (b) include the pay rate and per diem, and accurately describe any travel terms; (c) preview and confirm each posting before publishing it; (d) keep each posting accurate and remove it promptly once it is filled or no longer available, because postings do not currently expire automatically; and (e) provide a working phone number or email address for applicant contact. We may remove postings that appear inactive, inaccurate, or out of date.
7.4 Compliance with Employment Laws. Job Posters are solely responsible for complying with all applicable laws, including anti-discrimination laws (such as Title VII of the Civil Rights Act, the Americans with Disabilities Act, and the Age Discrimination in Employment Act), wage-and-hour and pay transparency laws, worker classification rules, licensing and insurance requirements, employment eligibility laws, and occupational safety laws.
7.5 Prohibited Postings. Job postings may not: (a) be false, misleading, or fraudulent; (b) express a preference or limitation based on any legally protected characteristic; (c) require applicants to pay a fee, purchase anything, or recruit others; (d) request Social Security numbers, bank information, or other sensitive information; or (e) advertise anything other than a bona fide job or contract opportunity.
7.6 Off-Platform Contact. When a User taps “Contact” on a posting, the User is routed off the Services to the phone number or email address chosen by the Job Poster. All communications, interviews, hiring decisions, agreements, payments, and work occur outside the Services, and we have no control over or responsibility for them. By publishing contact information, the Job Poster acknowledges that it will be publicly visible.
7.7 Applicant Due Diligence. Before accepting any engagement, independently verify the Job Poster’s identity, licensing, insurance, pay terms, per diem, travel and lodging arrangements, and safety practices. Never send money or sensitive personal information in response to a posting.
7.8 No Guarantee. We do not guarantee that any posting is accurate, that any job will be filled, that any Job Poster will respond, or that any applicant is qualified.
8. Resources
8.1 Resources Content. Resources articles and tips are created, edited, and controlled solely by Linevault. They are provided for general informational purposes, may not reflect the latest standards or the rules of your employer or jurisdiction, and are subject to Section 14.4.
9. Acceptable Use & Conduct
9.1 Prohibited Activities. You agree not to: (a) violate any law or the rights of others; (b) harass, threaten, bully, stalk, defame, or dox anyone; (c) impersonate any person or Business or misrepresent your affiliation; (d) send spam or unsolicited advertising; (e) promote multi-level marketing, pyramid schemes, or unrelated commercial offers; (f) upload malware or harmful code; (g) collect or harvest information about other Users, including Job Posters’ contact information, for any purpose other than responding to a posting; or (h) use the Services for any fraudulent or deceptive purpose.
9.2 Content Standards. User Content must not contain or promote hate speech, discrimination, violence, threats, sexually explicit material, graphic injury images, illegal activity, unsafe practices presented as recommended procedure, other people’s private information, or content that infringes intellectual property, privacy, or publicity rights.
9.3 No Automated Access or Bots. You may not use bots, scrapers, crawlers, spiders, or other automated means to access, copy, index, or extract data from the Services.
9.4 No Interference with the Services. You may not hack, probe, or test the vulnerability of the Services; circumvent security, authentication, or subscription controls; launch denial-of-service attacks; or otherwise disrupt, overload, or impair the Services.
9.5 Reporting Violations. If you see content or conduct that violates these Terms, use the “Report” feature in the App or email support@linevaultapp.com. We aim to review reports within 24 hours and will take the action we consider appropriate, but we do not guarantee any particular outcome or response time.
9.6 Enforcement and Consequences. If we believe you have violated these Terms, we may, with or without notice, remove content, issue a warning, restrict features, suspend or terminate your account, block access, and report conduct to law enforcement. We may investigate violations and cooperate with law enforcement and courts.
10. License & Intellectual Property
10.1 Ownership of Platform IP. The Services, including all software, code, design, text, graphics, Resources content, the selection and arrangement of content, and the LineVault name and logo, are owned by Linevault or its licensors and protected by intellectual property laws. No rights are granted to you except the limited license in Section 10.2.
10.2 Limited License Grant. Subject to your compliance with these Terms, Linevault grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website and to download, install, and use the App on devices you own or control, solely for your personal use or, for a Business, internal business use of the Jobs board and Community.
10.3 Restrictions on Use. You may not: (a) copy, modify, distribute, sell, rent, lease, or sublicense the Services; (b) create derivative works of the Services; (c) frame or mirror any part of the Services; (d) use the Services to build a competing product; or (e) remove or alter any proprietary notices.
10.4 Reverse Engineering Prohibition. You may not decompile, disassemble, reverse engineer, or attempt to derive the source code of the App or any software used in the Services, except to the extent this restriction is prohibited by law.
10.5 Trademark Usage. “LineVault,” “Linevault App,” and related logos are trademarks of Linevault App LLC. You may not use them without our prior written permission, including in domain names, social media handles, or job postings, or in any way that suggests our sponsorship or endorsement.
10.6 Copyright Infringement / DMCA. We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512. A notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Services; (d) your contact information; (e) a statement of your good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner. Send notices to our Designated Agent: dmca@linevaultapp.com, Linevault App LLC, 7901 4th St N, Ste 300, St. Petersburg, FL 33702. Users whose content is removed may submit a counter-notice as permitted by the DMCA. We will terminate the accounts of repeat infringers in appropriate circumstances.
11. Mobile Application End User License Agreement
11.1 Designation as EULA. These Terms serve as the End User License Agreement (“EULA”) for the App on the Apple App Store and Google Play and are available at https://linevaultapp.com/terms-of-service. The license in Section 10.2 and the restrictions in Sections 10.3 and 10.4 apply to the App.
11.2 Updates. We may release updates, patches, or new versions of the App, which may install automatically depending on your device settings. Updates are governed by these Terms, and older versions may stop working or no longer be supported.
11.3 Device and Carrier Requirements. You are responsible for obtaining a compatible device, operating system, and internet connection, and for any data, messaging, or carrier charges incurred in using the App.
11.4 Licensed, Not Sold. The App is licensed to you, not sold. Linevault reserves all rights not expressly granted.
11.5 Additional Terms for Apple Devices. If you downloaded the App from the Apple App Store, the following also apply:
- Acknowledgement. These Terms are between you and Linevault only, not Apple Inc. (“Apple”). Linevault, not Apple, is solely responsible for the App and its content.
- Scope of License. Your license is limited to use of the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and Support. Linevault is solely responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services for the App.
- Warranty. Linevault is solely responsible for any product warranties not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
- Product Claims. Linevault, not Apple, is responsible for addressing any claims relating to the App or your possession or use of it, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar laws.
- Intellectual Property Rights. If a third party claims that the App or your possession and use of it infringes that party’s intellectual property rights, Linevault, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
- Legal Compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Developer Name and Address. Direct questions, complaints, or claims about the App to Linevault App LLC, 7901 4th St N, Ste 300, St. Petersburg, FL 33702 or support@linevaultapp.com.
- Third-Party Terms. You must comply with applicable third-party terms, such as your wireless data service agreement, when using the App.
- Third-Party Beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
11.6 Additional Terms for Android Devices. If you downloaded the App from Google Play, you acknowledge that these Terms are between you and Linevault only, that Google LLC is not responsible for the App, and that your use of the App is also subject to the Google Play Terms of Service.
11.7 App Store Rules; Order of Precedence. You must use the App in compliance with the rules and policies of the store from which you obtained it. If these Terms conflict with Section 11.5, Section 11.5 controls as between you and Apple.
12. Privacy & Data
12.1 Privacy Policy Reference. Our Privacy Policy, available at https://linevaultapp.com/privacy-policy, explains how we collect, use, and share personal information and is incorporated into these Terms by reference.
12.2 Data Collection Overview. We collect the information you provide (such as your email address, profile information, Pay Tracking Data, User Content, and job postings) and limited technical information needed to operate and secure the Services. We do not collect location data from your device, we do not sell personal information, and we do not allow advertisers on the Services.
12.3 Cookies and Tracking. The Website uses cookies, and the App uses similar technologies, as described in Section 6 (Cookie Policy) of our Privacy Policy. We do not use advertising or cross-site tracking cookies.
12.4 Third-Party Data Sharing. We share personal information only with service providers that help us operate the Services (such as hosting, database, email, and payment providers), with Apple and Google as needed to distribute the App and process purchases, as required by law, or as otherwise described in our Privacy Policy.
12.5 Data Retention. If your trial ends or your subscription is cancelled or lapses, your Pay Tracking Data is retained so you can pick up where you left off if you subscribe. If you delete your account, your account and associated data, including Pay Tracking Data, profile information, and User Content, are permanently deleted as described in Section 7 of our Privacy Policy and cannot be recovered.
13. Third-Party Services & Links
13.1 Third-Party Integrations and Links. The Services may link to or rely on third-party websites and services, including app stores, payment processors, and the phone and email services you use to contact a Job Poster.
13.2 No Endorsement. We do not control or endorse third-party websites, services, Job Posters, or User Content, and we are not responsible for their content, accuracy, practices, or availability.
13.3 Third-Party Terms Govern. Your use of third-party services is governed by those third parties’ terms and privacy policies, and you use them at your own risk.
14. Disclaimers & Warranties
14.1 As-Is Disclaimer. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LINEVAULT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
14.2 No Guarantee of Uptime. We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free, or that data will never be lost, and we do not offer a service level agreement for free or paid features.
14.3 Accuracy of Information. We do not warrant that any content on the Services, including Pay Tracking estimates, User Content, job postings, or Resources, is accurate, complete, reliable, or current.
14.4 No Professional Advice. Nothing on the Services is legal, tax, accounting, financial, medical, engineering, or safety advice. Always follow your employer’s procedures and applicable safety regulations, and consult a qualified professional about your situation.
14.5 User Content and Job Postings. Consistent with 47 U.S.C. § 230, we are not the publisher or speaker of User Content or job postings, and we are not responsible for their accuracy, legality, or safety, or for the conduct of any User, Job Poster, or applicant, online or offline.
14.6 Assumption of Risk. Electrical and line work is inherently dangerous. You acknowledge that any work you obtain through a job posting, and any use you make of information found on the Services, is at your own risk.
15. Limitation of Liability & Indemnification
15.1 Exclusion of Consequential Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, LINEVAULT AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF WAGES, PROFITS, DATA, GOODWILL, OR EMPLOYMENT OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 Cap on Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, LINEVAULT’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
15.3 Third-Party Claims and Release. We are not liable for the acts, omissions, content, or conduct of any User, Job Poster, applicant, or other third party. To the fullest extent permitted by law, you release Linevault from all claims, demands, and damages arising out of or connected with disputes between you and any other User or third party, including disputes relating to job postings, hiring, pay, or work performed.
15.4 User Indemnification. You agree to defend, indemnify, and hold harmless Linevault and its members, managers, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your User Content or job postings; (b) your hiring practices or employment decisions, if you are a Job Poster; (c) your use of the Services; (d) your violation of these Terms or applicable law; or (e) your violation of any third party’s rights.
15.5 Force Majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including hurricanes, storms, and other natural disasters, power or internet outages, failures of hosting or other third-party providers, cyberattacks, labor disputes, pandemics, war, or government action.
15.6 Applicability. Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
16. Dispute Resolution
16.1 Governing Law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except that this Section 16 is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
16.2 Informal Resolution First. Before starting arbitration or a court action, the party raising a dispute must send the other a written notice describing the dispute and the relief requested. Notices to Linevault must be sent to the addresses in Section 19.9. The parties will try in good faith to resolve the dispute informally for 60 days after the notice is received, and any applicable limitations period is suspended during that time.
16.3 Mandatory Arbitration. Except as provided in Sections 16.4, 16.5, and 16.7, any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the scope or enforceability of this arbitration agreement (a “Dispute”), will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, for Disputes with a Business, its Commercial Arbitration Rules). A single arbitrator will conduct the arbitration in Broward County, Florida, or by video conference or written submissions where the parties agree or the rules permit. Filing and arbitrator fees are allocated under the AAA rules. The arbitrator may award any individual relief available in court, and judgment on the award may be entered in any court of competent jurisdiction.
16.4 Small Claims Court Exception. Either party may bring an individual action in small claims court in Broward County, Florida, or in the county where you reside, if the claim qualifies and remains in that court. Either party may also seek injunctive relief in court to stop infringement or misuse of intellectual property.
16.5 Class Action and Jury Trial Waiver. YOU AND LINEVAULT AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND LINEVAULT EACH WAIVE THE RIGHT TO A JURY TRIAL. If this class action waiver is found unenforceable as to any claim, that claim must be severed and decided by a court, not an arbitrator, after all individual arbitration is complete.
16.6 Mass Arbitration. If 25 or more similar demands are filed against Linevault by or with the assistance of the same law firm or coordinated group, the demands will be administered in batches of up to 25 under the AAA’s mass arbitration procedures, and applicable limitations periods are tolled for demands awaiting administration.
16.7 Right to Opt Out. You may opt out of this arbitration agreement by emailing support@linevaultapp.com within 30 days after you first accept these Terms, with the subject line “Arbitration Opt-Out” and your name and account email address. Opting out does not affect any other part of these Terms.
16.8 Venue and Jurisdiction. Any Dispute not subject to arbitration must be brought exclusively in the state courts located in Broward County, Florida, or the United States District Court for Broward County, and you and Linevault consent to personal jurisdiction and venue in those courts.
16.9 Time Limit on Claims. To the extent permitted by law, any dispute must be brought within one (1) year after the claim arises, or it is permanently barred.
17. Term & Termination
17.1 Duration of Agreement. These Terms apply whenever you use the Services and remain in effect for as long as you have an account or otherwise use the Services.
17.2 Termination by User. You may stop using the Services at any time and may delete your account through your account settings in the App or on the Website. Account deletion is permanent: your account and all associated data, including Pay Tracking Data, cannot be recovered. Deleting your account does not cancel an App Store or Google Play subscription; cancel it through the applicable store to stop future charges.
17.3 Termination by Company. We may suspend or terminate your account or access to the Services at any time, with or without notice, if you violate these Terms, if required by law, to protect the Services or other Users, or if we discontinue the Services. Where practical, we will give notice before terminating an account for reasons other than a violation.
17.4 Effect of Termination.
